Vertiv is set to acquire Utility Innovation Holdings, Inc., which operates as UtilityInnovation Group (UIG), in a deal valued at approximately $1.45 billion in cash at closing, with an additional $1.15 billion earnout tied to EBITDA targets.
The acquisition is designed to expand Vertiv’s capabilities beyond traditional data center infrastructure and into microgrid controls, onsite power generation, energy storage orchestration, and behind-the-meter power architecture.
The move comes as limited grid capacity increasingly becomes a challenge for the rapid expansion of AI data centers. By integrating UIG’s technologies, Vertiv aims to help operators secure and manage power faster, including at sites that use grid-connected, bridge-to-grid, or islanded power configurations.
UIG brings a proprietary controls platform and pre-engineered microgrid switchgear capable of coordinating multiple power sources in real time with a data center’s critical power systems. Its generation-agnostic approach also allows operators to design power architectures around available technologies, fuel sources and financing options.
Vertiv said the combined capabilities could help customers scale capacity beyond what the grid alone can provide, reduce dependence on utility interconnection timelines, and manage power from the grid interconnect through rack-level infrastructure.
The transaction is expected to be accretive to Vertiv’s adjusted earnings per share in the first year following completion, subject to closing conditions.
